Any software that may be made available for download on the Site (the „Software”) is the copyrighted work of Genesys or its suppliers. Your use of the Software is subject to the terms of the Software License Agreement (the „License Agreement”) that accompanies or is included with the Software, service orders, and other applicable terms. You must read the License Agreement and confirm your acceptance of its terms before installing or using the Software. 3.2 Either party has the right to terminate the Agreement by written notice to the other party if (a) the other party has materially breached a contractual obligation and such breach remains unresolved for a period of thirty (30) days after written notice of such breach is sent to the other party; or (b) the other party is the subject of an application for bankruptcy or other proceedings related to insolvency, receivership, liquidation or assignment for the benefit of creditors. In the event of termination by Customer due to a breach by Genesys, Genesys will refund all prepaid fees covering the remainder of the Subscription Term after the effective date of termination. In the event of termination by Genesys due to a breach by Customer, Customer will pay all outstanding fees covering the remainder of the Subscription Term after the effective date of termination, and the prepaid fee will not be refunded. Genesys reserves the right to charge a re-entry fee in the event of a suspension under the Agreement and then reinstate or restart. Termination of the Agreement or any Annex by either party shall not be deemed a waiver of any breach of the Agreement or the Annex, and shall not constitute an exemption from liability of either party for breach of that party`s obligations under the Agreement or any Annex. Neither party shall be liable to the other party for damages of any kind arising solely from the termination of the Agreement/Annex in accordance with its terms, and any termination of the Agreement/Annex by either party shall not affect that party`s rights or remedies under the Agreement/Annex or applicable law. 1.3 If Customer is in the process of paying the Fees during the Contract Term, has at least two Customer Employees who have completed the Initial Training and is not in default of the Agreement, Genesys will provide Customer with support at the appropriate level of support. Genesys reserves the right to update Support at the beginning of a renewal period by written notification at least thirty (30) days prior to the renewal date.

Support updates are displayed in the www.genesyscloud.com customer portal. In order to access certain parts of the Website, you may be asked to provide personal data. Our policies regarding the collection and use of information relating to your personal information are set out in genesys` Privacy Policy. You acknowledge and agree that you are solely responsible for the accuracy and content of your personal information. You are solely responsible for maintaining the confidentiality of your username and password and for any activity that occurs under your password, as well as for any loss or damage suffered by Genesys or any third party as a result of another person`s use of your password or account. You agree to immediately notify Genesys of any unauthorized use of your password and/or account or any breach of security. This Master Subscription Agreement („MSA”) is executed by the performing parties and by the performance of the corresponding service agreement. The parties agree that this MSA may be executed by any signature, including electronic commerce or transmission, including fax, e-mail or confirmation via a website. By executing the Service Order, customer agrees to be bound by all the terms of the Agreement, including this MSA and Appendix A „Glossary and Terms and Conditions” which can be found under www.genesys.com/CloudMSAGlossary. This MSA, Appendix A, the liaison service regulations and other schedules are integrated into each other.

By entering into a calendar by an Affiliate, an Affiliate agrees to be bound by the terms of the Agreement as if it were an original part. Taking into account the mutual promises and obligations contained in the Agreement, the adequacy of which is hereby acknowledged, the parties agree as follows. Termination of the Genesys Customer Care My Support account includes (i) removing access to all offerings on the Service; (ii) remove all contact passwords and all associated information, files, and content associated with or in the Contacts` Genesys Customer Care My Support account (or any part thereof) and (iii) exclude any further use of the Service. Genesys may, in its sole discretion, terminate or restrict a user`s (and account`s) access to the Site without notice, without prejudice to its right to seek damages in the event of termination for violation of the Terms of Use. A Contact will use their account solely for the purpose of resolving (a) their Company`s internal technical support issues related to the Licensed Genesys Software and/or Cloud Subscription (b) if the Contact Company is a Genesys Partner, internal technical support issues related to the Licensed Genesys Software and/or the Genesys Cloud Subscription of the Company`s End Users. Some contacts are the only contacts allowed to open or update a folder with Genesys. All other employees of a contact`s company who are not designated contacts („Additional Contacts”) may have read-only access to view customer service records and other websites or My Support information. Neither Genesys nor its directors, officers, employees or other agents shall be liable for any errors contained herein or for any direct, indirect, special, punitive, incidental or consequential damages, such as, but not limited to, loss of data, loss of profits or revenue, loss of business, loss of reputation or economic loss arising therefrom, or in connection with the provision, access or use or inability to: use the Website, or rely on the information or materials provided on the Website, even if the possibility of such damages has been reported. .
